Sponsorship and Vendor Terms
These are operational starting terms, not a guarantee of legal compliance. Applicable legal rights remain protected.
AXENDRA Sponsorship and Vendor Terms and Conditions
Effective date: The date these terms are accepted during an application.
Version: 2026-10-25-v1
1. Application and Acceptance
Submitting an application does not guarantee approval, sponsorship placement, vendor participation, or availability at any event. AXENDRA reserves the right to review applications and approve or decline them based on event capacity, suitability, completeness, and applicable event requirements.
These terms, the selected package or vendor option, the application details, and any written terms specifically incorporated into the application form the agreement between the applicant and AXENDRA once the application is accepted by AXENDRA. Where payment is required, participation is not confirmed until approval and payment are completed.
2. Accurate Information
Applicants agree to provide complete and accurate information. AXENDRA may request clarification or decline an application if information is incomplete, inaccurate, misleading, or cannot be verified.
3. Payment Terms and Nonrefundable Payments
All prices, package benefits, fees, and payment deadlines must be displayed before the applicant submits the application or makes payment.
All payments are nonrefundable once made, except where a refund is required by applicable law or AXENDRA expressly agrees otherwise in writing.
Applicants are responsible for reviewing their selections, event details, package benefits, and total charges before submitting payment. Applicants should contact AXENDRA before paying if they have questions.
No payment should be collected before approval when approval is required. AXENDRA will not charge applicants for an event or placement that has not been approved and made available to them.
4. Sponsorship Terms
Sponsorship benefits are limited to the specific package selected and accepted by AXENDRA. Benefits not expressly listed in the package are not included.
Logos, promotional materials, speaking opportunities, social media features, and other sponsor benefits are subject to applicable deadlines, content approval, event format, and practical availability. Sponsors must provide requested materials by the stated deadlines.
AXENDRA may decline or remove promotional material that is unlawful, misleading, offensive, or inconsistent with event requirements. Sponsorship does not guarantee sales, leads, attendance, media coverage, or any particular business outcome.
Annual sponsorships apply for the stated 12-month term and include only the benefits listed in the accepted annual package. Any renewal, extension, or change in benefits must be agreed to in writing.
5. Vendor Participation
Vendor participation is event-specific and subject to approval, available space, venue rules, and event requirements. Payment does not authorize a vendor to attend an event other than the one approved.
Vendors must follow event instructions, arrival and setup times, safety requirements, venue policies, and applicable laws. Vendors are responsible for their own products, services, staff, equipment, permits, licenses, insurance where required, taxes, sales, and customer transactions.
Vendors may not make unauthorized claims about AXENDRA or imply that AXENDRA endorses their products or services unless AXENDRA has expressly approved that representation in writing.
Community Partner vendor benefit: An approved, active AXENDRA Community Partner may receive vendor-table participation at eligible events without an additional vendor fee, subject to membership status, approval, availability, and event-specific requirements. This benefit does not guarantee a table at every event.
One-Time Vendor fee: The listed $150 fee applies to an approved one-time vendor application for the specified event, unless AXENDRA confirms a different fee in writing.
6. Cancellations, Changes, and Event Disruptions
Applicants should notify AXENDRA promptly if they can no longer participate. Unless AXENDRA states otherwise in writing or applicable law requires a different outcome, payments remain nonrefundable when an applicant, sponsor, or vendor cancels or fails to participate.
AXENDRA may adjust event schedules, locations, formats, programming, or logistics when reasonably necessary. If AXENDRA cancels an event or cannot provide a paid placement, AXENDRA will communicate the available resolution. Any refund, credit, transfer, or rescheduling will be handled in accordance with applicable law and the circumstances of the cancellation.
AXENDRA is not responsible for delays or nonperformance caused by circumstances beyond its reasonable control, such as severe weather, emergencies, venue closures, government restrictions, or other unforeseen disruptions. This clause does not remove any rights that cannot legally be waived.
7. Conduct and Removal
Participants must behave professionally and respectfully and must comply with applicable laws and venue rules. AXENDRA may deny entry, require a participant to stop an activity, or remove a participant for misconduct, safety concerns, harassment, unlawful activity, material misrepresentation, or failure to follow event requirements.
Where a participant is removed or participation is terminated because of that participant’s conduct or breach of these terms, payments will generally remain nonrefundable, except where applicable law requires otherwise.
8. Promotional Materials and Permission to Use
Applicants grant AXENDRA permission to use the business name, logo, website, and promotional materials they submit for the purpose of identifying, promoting, and delivering the approved sponsorship, vendor participation, or related AXENDRA event.
Applicants confirm they have the authority to provide those materials and that, to their knowledge, the materials do not unlawfully infringe another party’s rights. This permission does not transfer ownership of the applicant’s intellectual property.
Use of an individual’s photograph, testimonial, or personal likeness for broader marketing beyond event-related identification should be covered by a separate, clearly presented permission where appropriate.
9. Independent Businesses; No Guarantee of Results
Sponsors and vendors operate independently and are not employees, agents, joint venturers, or legal representatives of AXENDRA. Unless expressly agreed in writing, neither party may enter into commitments on behalf of the other.
AXENDRA does not guarantee revenue, customer acquisition, referrals, attendance, exposure, or other business results from sponsorship or vendor participation.
10. Limitation of Responsibility
To the extent permitted by applicable law, each participant is responsible for its own business operations, products, services, staff, equipment, and conduct. Nothing in these terms excludes liability or rights that cannot legally be excluded or limited.
11. Privacy and Electronic Communications
Information submitted through an application may be used to review the application, communicate with the applicant, administer approved participation, process payments, maintain records, and meet applicable legal obligations, in accordance with AXENDRA’s posted Privacy Policy.
Applicants agree to receive electronic communications related to their application, payment, agreement, and event participation. Marketing communications must be handled according to the applicant’s preferences and applicable law.
12. Changes to Terms
The terms accepted for a particular application will be recorded with that application. Material changes will apply to future applications or to an existing agreement only when properly communicated and accepted where required. AXENDRA will maintain a record of the terms accepted at the time of submission.
13. Governing Law
These terms will be governed by the laws of the State of New Jersey, without disregarding any mandatory consumer or other legal protections that apply. Any dispute will be handled in a court with proper jurisdiction, subject to applicable law.
14. Electronic Acceptance
By selecting the required acceptance options and submitting the application, the applicant confirms that they have reviewed these terms, understand them, and agree to be bound by them. The applicant intends their electronic acceptance to serve as their signature to the extent recognized by applicable law.
The applicant should receive a copy of the submitted application, selected package or vendor option, applicable price, accepted terms, and submission date for their records.
